Terms and Conditions of Sale - MICROMECALP®
Acceptance of Terms: By placing an order with us, the customer agrees to the following terms and conditions of sale. Any exemptionmust be clearly mentioned on a case-by-case basis on the order acknowledgments or on the commercial offer.Under no circumstances, after the official order has been put into effect, can the CUSTOMER's purchasing conditions prevail over those of the company Micromecalp.
Orders: All orders are subject to acceptance by our entity. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing, or fraudulent activity.
Pricing: Prices are as specified in the quotation and are subject to change without notice further the offer validity date. All prices are in [EUR] and do not include taxes or shipping unless explicitly stated. The catalogs and prices are given for information purposes only and in no way constitute a commitment. Micromecalp reserves the right to modify without notice the models and references in its catalogs and prices.
Payment: Payment terms are specified explicitly in our quotation. Any order should be paid 100% before delivery. NEW CUSTOMER must pay upon validation of the order. However, depending on the amount of the project, a minimum deposit of 50% will be requested before committing the order to manufacturing. Late payments may incur penalties at 1,5% per month, without formal notice and subject to any other miscellaneous.
Shipping and Delivery: Delivery times are given on the date of departure from the factory. If applicable, the delivery delay cannot be used as a reason for order cancellation or generate penalties for late delivery and refusal of delivery. Shipping costs are the responsibility of the customer unless otherwise specified. Buyer is liable for receiving and unloading the parcel.
Delivery dates are estimates, and Micromecalp is not liable for delays due to unforeseen circumstances. In the event of damage occurring during transportation, it will be up to the CUSTOMER to exercise any recourse against the carrier or its insurer upon receipt of the equipment.
Returns and Refunds: Products may be returned within 14 days of receipt for a refund or exchange, subject to our approval. Returned products must be in their original condition.
Warranty: Micromecalp warrants that our products are free from defects in materials and workmanship for a period of 12 months from the date of purchase. This guarantee is a mechanical guarantee, consumable parts being excluded. Our liability is limited to the repair. Any component that may be found defective on original machine will be replaced free of charge. Any complaint for construction defects will only be taken into consideration after written advice addressed no later than 10 days after receipt of the materials on site. Defects not clearly attributed to the materials used by the manufacturer or to the manufacturing process will be examined by us. If the complaint is found to be unjustified, all costs for repairing the machine and/or replacing spare parts will be charged to the buyer. Claims will be refused if the materials have been dismantled, transformed, or used in a manner that does not comply with the instructions mentioned. Damage caused by falls during transportation or placement in the work environment or in any case not attributable to the manufacturer will not be recognized.
Limitation of Liability: In no event shall Micromecalp be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of our products.
Force Majeure: In the event of impossibility of delivery following a fortuitous event and/or force majeure such as flood, fire, total or partial strike, closure of our factory or that of our main suppliers and service providers, the CUSTOMER will not be able to claim any kind of additional compensation.
Intellectual Property: All intellectual property rights in and to the products and related materials are and shall remain the exclusive property of Micromecalp and its owner.
Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the exclusive jurisdiction of the courts of CHAMBERY (SAVOIE, FR) applying French law.
Modification of Terms: Micromecalp reserves the right to modify these terms and conditions at any time. Customers will be notified of any changes.
Miscellaneous: If any provision of these terms and conditions is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
